Governance 




Following a comprehensive review of the range of options available, Moat’s Board made the decision to adopt the Financial Reporting Council’s ‘Combined Code of Corporate Governance’ supplemented by the National Housing Federation’s ‘Code of Service Delivery and Accountability’. Moat is the first housing association in the country to adopt the combined code of corporate governance.

This new governance framework draws upon the best recognised practice from the business sector, whilst maintaining distinctive features of the housing association sector. Based on a set of clean and simple principles, the new code is under constant review, ensuring that it is always relevant in today’s ever changing business environment. It firmly places the onus on Moat’s Board to ensure that Moat has effective structures, systems and processes to deliver the company’s aims, objectives and intended outcomes for residents in an effective, transparent and accountable manner.


The Governance Structure

Moat's Board

The Board's role is to provide strategic entrepreneurial leadership of the organisation within a framework of prudent and effective controls which enables risk to be assessed and managed. The Board sets Moat's strategic aims, values and standards and ensures that the necessary financial and human resources are in place for the organisation to meet its objectives and review management performance.

The Board members are:

Rosamund Blomfield-Smith
Chairman

Rosamund spent 30 years in the City, leading on corporate finance at major investment banks, including Rothschilds, Barings and Arbuthnot, with particular expertise in utilities. Her experience has included advising a range of governments on utility privatisations. In recent years, she has developed a portfolio of non-executive roles, including for the DTI, WaterAid, the Wales Audit Office, British Empire Securities and the National Archives.

Rosamund was appointed to Moat in October 2006.

Lorraine Ash
Resident Board member

Lorraine joined the Board in April 2006, having been a Moat resident for the last nine years.  Lorraine chairs the ‘South Area Residents’ Association’ and is an active member of her local community.

Brian Johnson
Chief Executive
Brian is Moat’s Chief Executive and the only executive member of the Board.  He joined Moat as Chief Executive in September 2008.  Brian was previously Chief Executive of an organisation with 22,000 homes in Westminster.  Brian also spent a number of years in management roles in the process and chemical industries. 

Colin Brown
Vice Chairman and Chairman, Moat Finance and Growth Committee

Colin retired in April 2006 as Managing Partner of the Paris office of law firm, Eversheds.  He was a main board member of the firm from 1993 to 2003.  He is also Chairman of an environmental services company.  He joined the Moat Board in April 2006.

Ted Brown
Chairman, Housing & Customer Services Committee

Ted’s career spans thirty years in the service sector. Ted has run businesses in many parts of the world, in sectors as varied as water testing to risk management. The majority of his career was spent at Rentokil Initial, the international services group, where he grew through the business and served as Chief Operating Officer and as a Board member. After retiring from Rentokil, Ted has held several non executive directorships, always specialising in services and customer care.

Tariq Cader FCCA, MBA
Chairman, Moat Housing Group (part of Moat Homes Ltd)

Tariq has been Finance Director of two residential property companies. He is now a consultant advising clients on strategy and taxation.

Alan Palmer FCA, FCT
Chairman, Audit Committee
Alan spent many years in the City, including twelve as director of a leading fund management company.  More recently he worked in the public sector as Secretary of the Lord Chancellor’s Strategic Investment Board.  He has also been a non-executive director of the Kent Reliance Building Society.  He joined the Moat Board in September 2008.

Andrew E Panter BSc (Hons), ACGI, E.Eng, MICE, FCIWEM, FIQ, FCIM
Chairman, Bourne Housing Society (part of Moat)
Andrew is a Chartered Civil Engineer and was previously Managing Director of Wimpey Homes Holdings and a member of the Executive Board of George Wimpey plc. He currently has a portfolio of non executive directorships in the Affordable Housing sector including Moat Homes Ltd and Bourne Housing Society Ltd. Andrew is also a Deputy Lieutenant of the Royal County of Berkshire, Upper Warden of the Worshipful Company of Paviors and a Trustee of the Prince Philip Trust

David Williams
Audit Committee

David spent many years in the water industry in various positions before retiring.  David is now a District Councillor, School Governor, Election Agent and a Governor for North Essex Partnership NHS Trust.
 
Sam Younger
Most recently, Sam Younger was interim Chief Executive of Shelter where he developed a close interest in housing. Prior to that he built a long and close familiarity with the public and voluntary sectors as the inaugural Chair of the Electoral Commission, Director General of the British Red Cross and Managing Director of BBC World Service. Sam joined the Moat Board in March 2010.

Andrew Wells
Andrew Wells is a career civil servant. As well as the Department of Communities and Local Government (CLG) he has worked in the Department of the Environment, the Department of Transport, the Cabinet Office and a number of other departments. He has also spent periods on secondment to a Local Authority (Hounslow Borough Council in London) and the Property Services Agency. Andrew took up his present post as Director of Planning at the CLG in 2009 and joined the Moat Board in March 2010.

In addition to the board members of Moat Homes, a non-executive member sits on the board of its non-charitable subsidiary and is also a member of various functional committees:-

Tony Hall FRICS
Tony is a long serving Moat board representative who has extensive experience of residential property management. Until recently he ran his own property management company.
